1. Introduction

Welcome to Ascendary Mentorship Solutions FZCO (“Ascendary,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our education, learning, and mentoring services, including our website, mobile applications, and any related services (collectively, the “Services”).

Via Ascendary is a brand operated by Ascendary Mentorship Solutions FZCO, a company registered in the United Arab Emirates. All Services provided under the Via Ascendary name are offered, operated, and governed by Ascendary Mentorship Solutions FZCO.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Eligibility

You must be at least 21 years of age to use our Services. By using our Services, you represent and warrant that you are at least 21 years old and have the legal capacity to enter into these Terms. Due to the financial, psychological, and risk-related nature of the educational content provided, the Services are intended for mature users capable of understanding and managing financial risk.

3. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

By submitting your Name and Email address through our Meta (Facebook and Instagram) Advertising Lead Forms, you expressly grant Ascendary the right and authority to create a membership registration on our web portal on your behalf. This automated registration process is designed to facilitate immediate access to our educational resources. Upon account creation, you will receive an automated email notification with instructions on how to activate your profile, set a secure password, and manage your account preferences.

4. Subscriptions and Payments

4.1 Subscription Services

Our Services may be offered through various subscription plans. When you purchase a subscription, you agree to pay all applicable fees associated with your chosen plan.

4.2 Payment Processing

Payments are processed through third-party payment processors, including Stripe, Google Pay, and Apple Pay. By providing payment information, you authorize us and our payment processors to charge your designated payment method.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee.

4.4 Price Changes

We reserve the right to modify subscription fees. We will provide you with reasonable notice of any price changes, and such changes will take effect at the start of your next billing cycle after the notice period.

5. Cancellation and Refund Policy

5.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period, and you will retain access to the Services until that time.

5.2 No Refunds

All fees paid are non-refundable. We do not provide refunds or credits for partial subscription periods, unused services, or cancelled subscriptions.

6. Intellectual Property Rights

6.1 Our Content

All content provided through our Services, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, and course materials (collectively, “Our Content”), is owned by or licensed to Ascendary and is protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Our Content solely for your personal, non-commercial use in connection with the Services.

6.2 User-Generated Content

By posting, uploading, or submitting any content to our Services (“User Content”), you grant Ascendary a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content for educational, marketing, and promotional purposes, including on social media platforms and websites.

You acknowledge and agree that:

No compensation will be provided for the use of your User Content
We may use your User Content without prior approval or notification
You waive any moral rights you may have in your User Content
You retain ownership of your User Content, subject to the rights granted to us

6.3 User Representations

By submitting User Content, you represent and warrant that:

You own or have the necessary rights to the User Content
The User Content does not violate any third-party rights
The User Content does not contain illegal, harmful, or offensive material
You have obtained all necessary consents for the User Content

7. Prohibited Conduct

You agree not to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Impersonate any person or entity
Transmit viruses, malware, or other harmful code
Interfere with or disrupt the Services
Attempt to gain unauthorized access to our systems
Use automated systems (bots, scrapers) to access the Services
Resell or commercialize the Services without authorization
Share your account credentials with others
Post content that is defamatory, harassing, threatening, or discriminatory
Engage in any activity that could harm minors

We collect and process personal information including your name, surname, email, nickname, and analytics data. This includes data collected through Meta Ads lead generation campaigns. Our use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCENDARY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the Services
Any unauthorized access to or use of our servers
Any interruption or cessation of the Services
Any bugs, viruses, or other harmful code transmitted through the Services
Any errors or omissions in any content
Any conduct or content of any third party

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Ascendary, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

16.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately terminate. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dubai, United Arab Emirates, for the resolution of any disputes.

18. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts as provided in Section 17.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ascendary regarding the Services and supersede all prior agreements and understandings.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Ascendary.

22. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.
